why are there 2 perl instances in my Processes

I recently started facing HTTP/1.1 New Session Failed errors on my customer's website and found out it is because of high resource usage. Believe it or not, it is the only website running on that virtual dedicated host.

I opened up my Windows Task Manager and showed all the processes... I saw two perl instances running with both taking at least 30,000KB of memory!!

Does anyone know why two instances of perl are running? I could free up 30mb of memory if one was not needed.
 
One may be related to Spam Assassin. Not too sure what the other would be for.
